1. Introduction
These Terms and Conditions ("Terms") govern your use of the TradeKit application and website ("Service") provided by TradeKit, a company registered in England and Wales. By creating an account or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use the Service.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a contract to use TradeKit. By using the Service, you represent and warrant that you meet these requirements.
3. Account registration
To access most features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at help@tradekit.uk if you suspect unauthorised access.
4. Subscription and payment
TradeKit offers a free Starter plan and paid plans ("Pro", "Team"). Paid subscriptions are billed monthly in advance. All prices are in GBP and exclude VAT where applicable.
Payment is processed by Stripe. By subscribing to a paid plan, you authorise us to charge your payment method on a recurring basis until you cancel. You can cancel at any time from your account settings.

5. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to any part of the Service
- Upload or transmit viruses, malware or harmful content
- Resell, sublicense or commercially exploit the Service without our written consent
- Use the Service to send spam or unsolicited communications
- Interfere with or disrupt the integrity or performance of the Service
- Collect or harvest other users' data
6. Intellectual property
All content, features and functionality of the Service (including but not limited to software, design, trademarks and logos) are owned by TradeKit and are protected by applicable intellectual property laws. You may not copy, reproduce or create derivative works without our express written permission.
You retain ownership of all data and content you upload to TradeKit (your invoices, client data, photos, etc.). You grant us a limited licence to store, process and display this content solely to provide the Service.
7. Third-party services
TradeKit integrates with third-party services including Google (authentication) and Stripe (payments). Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the practices of these third parties.
8. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free or completely secure. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.
9. Limitation of liability
To the maximum extent permitted by applicable law, TradeKit shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data or business opportunities arising from your use of the Service.
Our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount you paid to us in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold TradeKit harmless from any claims, damages, losses or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
11. Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law. You may delete your account at any time from your account settings.
12. Governing law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notice at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
